ARTICLE I - Reserved Rights and Grant of Limited License

1.01 Copyright 2002 Feed-Rite Division of Ridley Inc. All rights reserved. The site is protected by copyright as a collective work and/or compilation, pursuant to Canadian copyright laws, international conventions and other copyright laws. Any reproduction, modification, publication, transmission, transfer, sale, distribution, performance, display, or exploitation of the site of information (as that term is defined below), whether in  whole or in part, with express written permission of Feed-Rite is strictly prohibited. Feed-Rite either owns the intellectual property rights, including copyright, or all text, HTML code, multimedia clops, images, illustration, graphic, icon, Java code, and the selections and arrangement of the contents of the site (collectively, the "Information"). Portions of the information have been licensed to Feed-Rite by third parties.

1.02 As a use of the site, you are granted a limited license to us (display or print) short extracts of the information for your own personal and non-commercial use only, provided the information is not modified and provided further that you shall be responsible for any consequences resulting from such use. Any other us of the information is prohibited. 2.02 Any products or services mentioned on the site are made available in accordance with local law and only where they may be lawfully offered for sale.

ARTICLE III - No Endorsement

3.01 The site may contain links to other sites. These links are provided as references to help you identify and located other internet resources that may be of interest. There other sites were independently developed by parties other than Feed-Rite, and Feed-Rite does not assume responsibility for the accuracy or appropriateness of the information contained at such sites. In providing links to other sites, Feed-Rite is in no way acting as a publisher or disseminator of the material contained on those other sites and does not seek to control the content of, or maintain any type of editorial control over such sites, and in no way fill Feed-Rite be responsible, in any way, for your use of such other sites.

3.02 A link to another site should not be conducted to mean that Feed-Rite is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyrighted symbol that may be reflected in the link or the description of the link to such other sites.

5.01 Neither Feed-Rite nor any of its directors, officers, agents, employees, subsidiaries or affiliates will be responsible for any direct, indirect, special, incidental or consequential damage or any other damages whatsoever and howsoever caused, arising out of or in connection with the use of the site or in reliance on the information available on the site, including any loss of use, lost data, lost business profits, business interruption, personal injury, or any other pecuniary loss, whether the action is in contract, tort (including negligence), under statute, in equity, at law or otherwise, and whether or not Feed-Rite has been advised of the possibility of such damages.

5.02 Feed-Rite disclaims any liability for unauthorized use or reproduction of any portion of the site.

ARTICLE VI - Trademarks

6.01 Certain words, phrases, names, designs or logos used on the site may constitute trademarks, service marks or trade names of Feed-Rite or other entities. The display of any such marks or name on the site does not imply that you have been granted a license by Feed-Rite or other entities with respect to them.

ARTICLE VII - Confidentiality Warning

7.01 Absent the use of encryption, the internet is not a secure medium and privacy cannot be ensured. Internet e-mail is vulnerable to interception and forging. Feed-Rite will not be responsible for any damages you or any third party may suffer as a result of the transmission of confidential information that you make to Feed-Rite through the internet, or that you expressly or implicitly authorize Feed-Rite to make, or any errors or any changes made to any transmitted information.

7.02 Feed-Rite is under no obligation to refrain from reproducing, publishing or otherwise using the content of any communication you send to the site or otherwise to it by electronic mail, and you agree that all such communications are on a non-confidential basis.

ARTICLE VIII - Computer Viruses

8.01 While every effort is make to ensure that the information provided at the site does not contain computer viruses, you should take reasonable and appropriate precautions to scan for computer viruses and should ensure that you have a complete and current backup of the applicable items of information contained on your computer system. You should pay specific attention to some of the newer viruses that have been written to automatically execute when an infected word processing document is loaded into certain word processing programs.

ARTICLE IX - Conformance with Law

9.01 You agree that your use of the site shall not violate any applicable local, national or international law, including but not limited to any regulations having the force of law. Some jurisdictions may have restrictions of the use of the internet by their residents.

ARTICLE X - Worldwide Applicability's and Laws

10.01 The site is presented by Feed-Rite from within Canada, and Feed-Rite makes no representation that materials in the site are appropriate or available for us in locations outside of Canada. In addition, you are responsible for complying with any and all local laws in your jurisdiction which may impact your right to use the site.

10.02 You agree not to impersonate another person in your use of the site or the sending of any e-mail to an address listed on the site.

10.03 You acknowledge and agree that there are restrictions on software use. Feed-Rite does not authorize the downloading of any software, information or product for export or re-export to any country contrary to to Canadian, United States or International law.

ARTICLE XI - Choice of Law

11.01 The laws of the Province of Manitoba and the laws of Canada applicable therein shall govern as to the interpretation, validity and effect of this agreement notwithstanding any conflict of laws provisions or your domicile, residence of physical location. You hereby consent and submit to the non-exclusive jurisdiction of the courts of the Province of Manitoba in any action or proceeding instituted under or related to this agreement.

ARTICLE XII - Submission

12.01 All information submitted to Feed-Rite via the site shall be deemed and remain the property of Feed-Rite and Feed-Rite shall be free to use, for any purpose, any ideas, concepts, know-how or other techniques contained in information provided to Feed-Rite through the site or sent through e-mail for any purpose including developing, manufacturing and/or marketing goods or services. Feed-Rite shall not be subject to any obligations of confidentiality regarding any such information submitted to it unless specifically agreed by Feed-Rite or required law.

12.02 You agree that any information submitted for inclusion at the site does not infringe on the intellectual property or other rights of any third parties and you grant Feed-Rite a right to provide access to the information from the site. You warrant that any software submitted to Feed-Rite shall be free of computer viruses.

ARTICLE XIII - Indemnification

13.01 You agree to defend, indemnify and hold Feed-Rite harmless from any and all liabilities, costs and expenses, including reasonable attorney's fees, related to any violation of this agreement by you.
